These Terms and Conditions (“Terms”) constitute a legally binding agreement between One Square Web Solutions (Pty) Ltd (“the Company”, “we”, “our”, or “us”) and any person, company, or entity (“the Client”) who engages our services.
By accepting a quotation, paying a deposit, subscribing to a service, or otherwise engaging us, the Client agrees to be bound by these Terms.
The Company provides professional digital services including, but not limited to:
All services are provided directly to clients. The Company does not operate as a white-label or outsourced service provider.
For web development projects:
Work shall not commence until the deposit has cleared.
If a Client pays a deposit and elects not to proceed:
Marketing, SEO, advertising management, and maintenance services are non-refundable.
SEO, advertising management, and maintenance services are provided on a recurring subscription basis.
Failure to provide the required notice may result in continued billing for the applicable notice period.
Where a client subscribes to a website maintenance service provided by One Square Web Solutions, such services are limited to the specific maintenance tasks outlined in the applicable service agreement or subscription plan.
Maintenance services are intended to assist with routine updates, minor technical adjustments, security monitoring, and general upkeep of a website. These services do not constitute full system administration or hosting management unless explicitly stated.
Clients requesting changes or updates under a maintenance agreement must provide a minimum of one (1) business day’s notice for implementation of requested changes. While we make reasonable efforts to implement changes within a reasonable timeframe, urgent or immediate requests cannot be guaranteed unless otherwise agreed in writing.
Maintenance services do not include responsibility for server infrastructure, hosting provider uptime, network outages, data center failures, or other issues originating from third-party hosting providers. One Square Web Solutions does not operate or control hosting infrastructure and therefore cannot guarantee server availability.
Where a website allows multiple users with administrative or elevated permissions, the client remains responsible for managing those permissions appropriately. If damage, malfunction, or data loss occurs due to actions performed by individuals with administrator or privileged access, including employees, contractors, or third-party developers, One Square Web Solutions shall not be held responsible for such actions.

In situations where maintenance services are active and a technical issue arises due to proven negligence on the part of One Square Web Solutions, any liability shall be strictly limited to the fees paid for that specific maintenance period or calendar month.
Under no circumstances shall One Square Web Solutions be liable for indirect losses, lost profits, lost data, business interruption, reputational damage, or consequential damages arising from the use of our services.

Upon completion of a project, One Square Web Solutions (Pty) Ltd will provide the client with access credentials, administrative details, and any relevant information required for the client to access, manage, and maintain the delivered website, digital asset, or service. Project completion is defined as the stage at which the website or service has been developed according to the agreed scope of work and has been delivered or made accessible to the client for review and use.
Once the project has been delivered and the client has accepted the work, the responsibility for the management, administration, and safeguarding of all website files, databases, credentials, and digital assets transfers to the client. The client is responsible for ensuring that access credentials are stored securely and that proper backup procedures are implemented for their website and related systems.
One Square Web Solutions does not retain ongoing responsibility for the management or protection of client data, website files, or system credentials after the project has been handed over, unless the client has entered into a separate maintenance or management agreement with us.
Clients are encouraged to immediately secure and store copies of all deliverables, login credentials, configuration information, and backups provided during the handover process. Failure to do so may result in the permanent loss of access to such materials.
In addition, once the website or system has been handed over, any changes made by the client, the client’s employees, contractors, hosting providers, or any third-party developer may alter the functionality or security of the system. One Square Web Solutions shall not be responsible for any errors, malfunctions, security vulnerabilities, data loss, or performance issues resulting from modifications made after the official handover date.
Unless otherwise agreed in writing, the client assumes full responsibility for the operation and maintenance of the website or digital system once the project has been completed and delivered.
Upon delivery and acceptance of the project, the Client assumes responsibility for reviewing and approving all content, structure, and functionality.
After acceptance:
Under no circumstances shall the Company be liable for indirect, consequential, incidental, or special damages.
In the course of developing, maintaining, or supporting websites and digital systems, One Square Web Solutions (Pty) Ltd may utilise third-party software, plugins, themes, frameworks, APIs, and external platforms. These components may include, but are not limited to, WordPress plugins, content management system extensions, payment gateway integrations, marketing tools, analytics platforms, and other third-party technologies necessary for delivering digital services.
While reasonable efforts are made to select reputable and widely supported software solutions, One Square Web Solutions does not develop, own, or control many of these third-party technologies. As such, we cannot guarantee the ongoing reliability, compatibility, security, or functionality of such software.
Third-party developers may release updates, discontinue support, modify functionality, introduce vulnerabilities, or change licensing conditions without prior notice. Such actions may affect the performance, compatibility, or security of a website or digital system.
Accordingly, One Square Web Solutions shall not be held responsible for any malfunction, data loss, security breach, compatibility conflict, or service interruption caused by third-party software, plugins, themes, APIs, hosting environments, or external services.

Where maintenance services are active, One Square Web Solutions may assist in troubleshooting or resolving such issues where reasonably possible. However, resolution may depend on the cooperation, updates, or patches provided by the third-party developer or service provider.
Under no circumstances shall One Square Web Solutions be liable for damages, losses, or service interruptions caused by third-party software or external systems.
Clients acknowledge that modern websites depend on complex ecosystems of external technologies and accept that risks associated with such technologies cannot be entirely eliminated.
While One Square Web Solutions (Pty) Ltd provides its services using industry best practices, professional expertise, and commercially reasonable efforts, the Client acknowledges that certain services provided by the Company are influenced by factors that are outside the Company’s direct control. Accordingly, the Company does not guarantee specific outcomes, performance metrics, or commercial results arising from the use of its services.
In particular, services relating to search engine optimisation (SEO), digital advertising management, and online visibility rely on external platforms, algorithms, and competitive market conditions that are independently controlled by third-party providers such as Google, Meta (Facebook), LinkedIn, and other search engines or advertising networks. These platforms regularly update and modify their ranking algorithms, ad delivery systems, and platform policies without prior notice. Such changes may affect website visibility, advertising performance, or search rankings in ways that cannot reasonably be predicted or controlled by any digital service provider.
Search engine rankings are determined by a wide range of variables, including but not limited to website content quality, domain authority, technical structure, user behaviour signals, backlink profiles, competition within the relevant industry, and algorithmic evaluation by search engines. Because these factors extend beyond the scope of work performed by the Company, it would be commercially unreasonable and technically inaccurate to guarantee a specific ranking position, page placement, or search result visibility.
Similarly, advertising performance is affected by numerous external variables such as audience targeting accuracy, market demand, seasonal trends, bidding competition, advertising budgets, and platform policy changes. While the Company will implement campaigns using professional standards and data-driven optimisation strategies, it cannot guarantee a specific number of leads, conversions, sales, or return on investment.
The Company’s role is to design, implement, and manage digital strategies using recognised best practices and professional expertise. However, the Client acknowledges that digital marketing and search engine optimisation involve ongoing experimentation, testing, and adaptation to changing market and platform conditions. As a result, outcomes may vary significantly depending on factors beyond the Company’s control.
For website development projects, the Company guarantees the delivery of the agreed technical scope and functionality as defined in the project proposal or quotation. However, the Company does not guarantee the future performance of the website once deployed, including but not limited to traffic generation, user engagement, conversion rates, or revenue generation. These outcomes depend on factors such as business strategy, marketing activity, product-market fit, and the Client’s ongoing operational decisions.
By engaging the services of One Square Web Solutions, the Client acknowledges that the Company provides professional services and strategic implementation, but does not assume responsibility for external platform behaviour, market fluctuations, or commercial performance metrics that are beyond its reasonable control.
Nothing in this clause limits the Company’s obligation to perform services with reasonable skill, care, and diligence as expected from a professional digital services provider.
The Company does not provide hosting infrastructure.

The Client indemnifies and holds harmless One Square Web Solutions from any claims, losses, liabilities, or legal actions arising from:
By using the services provided by One Square Web Solutions (Pty) Ltd, you acknowledge that you have read, understood, and agreed to the terms and conditions.
Your continued use of our website or engagement with our services constitutes acceptance of this policy as well as all other policies governing our services, including but not limited to our Privacy Policy and any other policies published on our website.
By proceeding with our services, you confirm that you have reviewed and accepted these policies in full.
These Terms are governed by the laws of the Republic of South Africa.
Any disputes shall be subject to the jurisdiction of South African courts.
